Ao abrigo da alínea c) do nº 1 do artº. 245 do CVM, o Conse-lho Fiscal afrma que, tanto quanto é do seu conhecimento, a informação contida no Relatório de Gestão, Contas Anuais e demais documentos de prestação de contas relativos ao exercício de 2011, foi elaborada em conformidade com as normas contabilísticas aplicáveis, dando uma imagem verda-deira e apropriada do activo e do passivo, da situação fnan-ceira e dos resultados do emitente e das empresas incluídas no perímetro da consolidação e que o relatório de gestão expõe felmente a evolução dos negócios, do desempenho e da posição do emitente e das empresas incluídas no períme-tro da consolidação e contém uma descrição dos principais riscos e incertezas com que se defrontam.

Pursuant to Article 245.1(c) of the Securities Code (CVM), the Board of Auditors affrms that to the best of its knowledge the information contained in the Management Report, the Annual Accounts and the other accounting documents relating to 2011 has been drawn up in accordance with the applicable accounting standards, providing a true and fair image of the assets and liabilities, of the fnancial position and of the results of their issuer and of the companies included in the consolidation perimeter, and that the management report truly and fairly sets out the evolution of the business, the performance and the position of the issuer and of the companies included in the consolidation perimeter, and that it contains a description of the main contingencies and uncertainties with which they are faced.
